Annual Conference Terms and Conditions

THE INSTITUTE FOR FUNCTIONAL MEDICINE EVENT TERMS & CONDITIONS
IMPORTANT – This agreement (“Agreement”) is a legal agreement between you (“Attendee”) and The Institute for Functional Medicine, a Washington nonprofit corporation (“IFM”). Please read this Agreement carefully. This Agreement establishes the terms and conditions of your participation in IFM’s Event (“Event”). By registering for the Event, effective as of the date of such registration (the “Effective Date”), Attendee agrees to be bound by the terms and conditions contained herein. YOU WILL NOT BE ABLE TO REGISTER FOR THE EVENT UNLESS YOU CONFIRM YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS UPON CHECKOUT. ONCE YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN, INDICATE YOUR AGREEMENT BY CLICKING THE “I HAVE READ AND ACCEPT THE EVENT TERMS AND CONDITIONS” BOX UPON CHECKOUT.

PARTICIPATION POLICY
Attendee must check in and be present at the in-person program to receive CME credit. Only registered Attendees with name badges will be allowed in the conference room. Children and unregistered spouses may not attend the program or sponsored events.

RECORDING POLICY
Attendee grants The Institute for Functional Medicine (IFM) permission to take and use Attendee’s likeness in all photograph, audio, or video media in any and all of its publications, audio files, and videos, including website postings, without payment or other consideration.

Attendee understands and agrees that these materials will become the property of IFM and will not be returned. Attendee hereby irrevocably authorizes IFM to edit, alter, copy, exhibit, publish, or distribute this media for the purposes of educational programs, publicizing their programs, or for any other lawful purpose. Attendee specifically waives their right of publicity. In addition, Attendee waives the right to inspect or approve the finished product, including written or electronic copy, wherein their likeness appears. Additionally, Attendee waives any right to royalties or any compensation arising or related to the use of the media.

Attendee hereby holds harmless and releases and forever discharges IFM from all claims, demands, and causes of action which Attendee or Attendee’s heirs, representatives, executors, administrators, or any other persons acting on the Attendee’s behalf or on behalf of the Attendee’s estate have or may have by reason of this authorization.

Attendees are prohibited from video recording the conference.

EVENT CODE OF CONDUCT
IFM advises Attendee to consider the following:

  • IFM strongly recommends you download the following course materials onto your computer prior to your arrival (the meeting space bandwidth is not strong enough to allow for downloading large files onsite):
    • PDF slides of the presentations
    • CME instructions
    • Fresh Fare and Technology Instructions
  • If you prefer a hard copy, please print documents prior to your arrival. No handouts, including printed schedules, will be provided onsite.
  • To obtain CME credit, you must complete the course evaluation and time card by the deadline. Evaluation and time card instructions are emailed at the conclusion of the conference.
  • In consideration of our chemically sensitive fellow attendees, we recommend fragrance-free personal products.
  • WiFi is available in the meeting room for using the conference app and checking email.
    • Due to limited bandwidth, please do not use the WiFi for downloading or streaming files or on more than one device at a time.

USE OF IFM’S INTELLECTUAL PROPERTY
IFM retains all right, title, and interest in its intellectual property, including any rights of ownership or as a licensee in any patents, copyrights, trademarks, trade secrets, or any other proprietary rights (“Intellectual Property”). No license or other right of any kind is granted to the Attendee. Attendee may not use or reproduce the name, logo, slogan, artwork, graphics, designs, or any identifying symbol or mark of IFM or other third parties, including but not limited to IFM® & Design (U.S. Reg. No. 4116063), THE INSTITUTE FOR FUNCTIONAL MEDICINE® & Design (U.S. Reg. Nos. 4061508, 4075253), APPLYING FUNCTIONAL MEDICINE IN CLINICAL PRACTICE (AFMCP)® & Design (U.S. Reg. No. 4464851), or any variations thereof, without IFM’s express written consent as the exclusive licensee of the marks owned by Jeffrey and Susan Bland.

TERM & TERMINATION; SURVIVAL
The term of this Agreement shall commence on the Effective Date and shall continue thereafter until terminated as set forth herein. This Agreement will automatically terminate upon: (a) the completion of the Event in which Attendee registered on the Effective Date; (b) the cancellation of the Event in which Attendee registered on the Effective Date, if such Event is not rescheduled and completed. Notwithstanding termination of this Agreement, each party shall carry out every provision of this Agreement that contemplates continuing performance by such party after termination or expiration. Termination shall not affect any liability or other obligation that accrues prior to termination. After termination, the parties shall retain all claims and remedies at law, in equity, or otherwise.

INDEMNIFICATION
Attendee agrees to indemnify and hold harmless IFM and its officers, directors, employees, faculty, parents, affiliates, agents, subsidiaries, successors-in-interest, consultants, contractors, information providers, licensors, and suppliers (the “IFM Parties”) from and against any and all claims, actions, losses, liabilities, damages, costs, and expenses (including, without limitation, attorneys’ fees) caused by or arising from any alleged or actual acts or omissions of Attendee or Attendee’s employees, contractors, representatives, agents, or affiliates. The indemnification provided hereunder shall specifically include, but not be limited to: (a) any claim made against any of the IFM Parties arising from or with respect to Attendee’s use of any information, knowledge, competencies, or skills obtained or developed through Attendee’s participation in the Event; and (b) any claim made against any of the IFM Parties by any current or former patient of Attendee (unless such claim is completely unrelated to Attendee).

WAIVER, RELEASE, AND LIMITATION OF LIABILITY
Attendee hereby releases and forever waives any and all claims he or she may have against any of the IFM Parties for losses or damages Attendee may sustain in connection with Attendee’s participation in the Event. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL ANY OF THE IFM PARTIES OR ANY THIRD PARTIES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES; DAMAGES FOR PERSONAL INJURY, SICKNESS, DEATH, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION; OR DAMAGES FOR LOSS OF PROFITS OR REVENUES THAT MAY RESULT FROM OR IN CONNECTION WITH ATTENDEE’S PARTICIPATION IN THE EVENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR EVEN IF SUCH POSSIBILITY WAS REASONABLY FORESEEABLE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. IN NO EVENT SHALL IFM’S AGGREGATE LIABILITY TO ATTENDEE EXCEED THE FEES ACTUALLY PAID BY ATTENDEE TO IFM WITH REGARD TO ATTENDEE’S PARTICIPATION IN THE EVENT. No claims, regardless of form, arising out of, or in any way connected to the Event and/or Attendee’s participation therein, may be brought by Attendee more than one (1) year after the cause of action has accrued or the Attendee’s participation in the Event has been completed or terminated, whichever is earlier.

GENERAL
This Agreement, the rights and obligations of the parties hereto, and any claims or disputes relating thereto, shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to its conflicts of laws provisions, and/or the United States, as applicable. Exclusive venue for any action hereunder will lie in the state and federal courts located in Seattle, Washington, and both parties hereby submit to the jurisdiction of such courts. If any provision of this Agreement is held invalid or unenforceable, such provision shall be stuck, and the remaining provisions shall be enforced to the fullest extent permitted by law. Attendee agrees that this Agreement may be assigned by IFM in IFM’s sole discretion. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. The failure of IFM to seek redress for Attendee’s violation of or to insist upon Attendee’s strict performance of any covenant or condition of this Agreement shall not prevent a subsequent act, which would have originally constituted a violation, from having the effect of an original violation. This Agreement sets forth the entire understanding and agreement between IFM and Attendee with respect to the subject matter hereof.

ONSITE COVID-19 HEALTH AND SAFETY MEASURES

IFM may establish onsite health and safety measures (e.g., COVID-19, other) when determined through discussions with subject matter experts and based on scientific literature, event best practices, and government and venue-specific regulations. IFM will communicate any updates to onsite health and safety measures closer to the date of programming.

My participation in the IFM Event is not a substitute for any licensing requirements that may be applicable to me and does not independently authorize me to render care, prescribe regimens, or prescribe medications or supplements. My activities in the health and wellness field remain subject to my education, qualifications, and licensure.
